Article
Name henceforth
referred to as the Guild.
Article II. The purpose of the Guild is to contribute to the knowledge of

and the textile arts, to promote the appreciation of fine quilts and quilt
making, and to contribute to the growth and knowledge of the art, the industry,
and quilters through educational meetings and fellowship.
Article III. Section 1: The executive board will consist of all elected
Executive Board officers and standing committee chairpersons.
Section 2. The internal affairs of the Guild are to be handled by the executive board as the governing body of the organization.
Section 3. The executive board will act as a coordinator of committee affairs and issues to be voted upon by a quorum of the general membership.
Section 4. The executive board will meet at least every other month.
Section 5. Will review JoAnne Cutler Hay Memorial Scholarship applications and make awards annually.
Article IV. Section 1. The elected officers of the Guild will be:
Officers President, Vice President, Secretary, Treasurer
Section 2. The term of office for each officer will be two years. The President and Treasurer will serve beginning in an odd-numbered year and the Vice President and Secretary will serve beginning in an even-numbered year. The executive board will appoint a person to fill any vacancy of an elected office until the next regular election.
Section 3. Duties of officers:
The President will:
1. Conduct general meetings.
2. Conduct executive board meetings at least every other month.
3. Attend committee meetings “ex officio” as necessary.
4. Perform other duties as required.

1. Assist the President as necessary.
2. Attend executive board meetings
3. Oversee Communications committee.
4. Maintain applications and records related to scholarships.
The Secretary will:
1. Record the proceedings of all general and executive board meetings.
2. Conduct correspondence of the Guild as directed.
3. Maintain reports and records of the Guild.
4. Attend executive board meetings
The Treasurer will:
1. Receive and bank all Guild funds.
2. Maintain bookkeeping records of all funds.
3. Disburse funds as authorized.
4. Give monthly financial statements at executive board meetings.
5. Give complete and audited financial reports at annual meetings.
6. Collect annual dues and give forms to the Directory sub-committee.
7. Maintain current membership list.
Article V. Section 1. The nominating committee will consist of three members
Elections appointed by the President. Members of the Guild will make nominations to the committee in November. The nominating committee will contact nominees and prepare ballots for the January meeting.
Section 2. Election of officers will be held annually in January. Nominations may be made from the floor at this time. Voting shall be by secret ballot. A simple majority of a quorum will be necessary to elect. The President and Treasurer shall be elected to serve beginning in an odd-numbered year and the Vice-President and Secretary shall be elected to serve beginning in an even numbered year.
Article VI. Section 1. A minimum of three members is recommended for each
Standing standing committee. Chairpersons of the standing committees will serve
Committees on the Executive Board.
Section 2. The standing committees will be: Program/Workshop; Communications; History; Library; Fund Raising; Service; Hospitality; Education.
Section 3. Duties of the standing committees:
Program/Workshop
1. Plan programs for general membership meetings
2. Publish a program schedule.
3. Introduce the program and/or speakers at meetings.
4. Write letters of appreciation to speakers.
5. Submit annual budget to the executive board.
6. Oversee all committees that impact programs and their scheduling.
7. Maintain a list of teachers, speakers and potential meeting sites.
8. Assume responsibility for all programs, workshops, demonstrations as necessary.
Communications
1. Newsletter – Publish and distribute on a regular basis, keeping general membership informed of relevant activities and events.
2. Web-site – Maintain with current and relevant information
3. Directory - Maintain with current information (Article VI, number 7)
4. Submit an annual budget to the executive board.
5. Publicity – Information on regular meetings as well as special articles.
History
1. Maintain scrapbook of group activities.
2. Submit an annual budget to the executive board.
3. Take photographs when possible.
Library
1. Maintain a library of books and other educational material.
2. Maintain a database of library books.
3. Submit an annual budget to the executive board.
Fundraising
1. Oversee Raffle Quilt subcommittee
2. Oversee all fund raising activities which might include auctions, raffles, special sales, etc.
Service
1. Receive and review requests for quilts from individuals and organizations.
2. Coordinate making and distribution of quilts.
3. Submit an annual budget to the executive board.
Hospitality
1. Set up/put up chairs and tables when necessary.
2. Greet guests and be in charge of nametags, guest book, door prize drawings, etc.
3. Administer new member orientation.
Education (planned for future)
1. Develop outreach programs to the community teaching aspects of quilting.
Article VII. Section 1. The Guild will hold monthly general meetings.
Meetings
Section 2. The members in attendance at any general meeting will constitute a quorum. A simple majority of a quorum may decide any question coming before the meeting.
Article VIII. Section 1. Membership will be open to anyone. A person becomes a
Membership member of the Guild upon payment of dues.
Section 2. Annual dues will be established by a simple majority of a quorum of the general membership at the November meeting. Dues are due and payable at the January meeting and are delinquent after the February meeting. Those joining after the June meeting will pay half the annual dues. All members delinquent after 30 days will be dropped from the membership list. Non-members may attend meetings for a fee set by the executive board.
Article IX. Section 1. These by-laws m ay be amended by a simple majority of a
Amendments quorum at any general meeting of the Guild, providing the amendment was presented at the previous meeting.
Section 2. Amendments will be decided by a vote and a simple majority of the quorum.
Article X. In the event of dissolution of the Guild, any and all properties owned by
Dissolution the Guild will be distributed only to non-profit organizations recognized under the IRS code of the US Government and as the executive board selects as recipients.
